The General Counsel plans and is accountable for all aspects of Accion's legal affairs, including its relationships with outside counsel, and ensures the appropriate protection of its legal rights and compliance with applicable laws and regulations. The General Counsel is a member of Accion’s Operating Committee and reports to the Chief Executive Officer and to the Board of Directors.


Central to the position is the oversight over and protection of Accion’s not-for-profit corporate and federal tax-exempt statuses, and the accompanying charitable purpose related to both that flow throughout its legal structure. Accion utilizes all of the tools available to it in order to advance its mission, including complex legal structuring, partnership, and capital deployment models that fully leverage Accion’s impact. The General Counsel plays a key role in all of these areas, which involve traditional non-profit partnerships utilizing government/multi-lateral contracts, institutional grants, and technical assistance programs, but also involve mission-related investments and management of third-party investment funds.


To do this work, the General Counsel will work closely with other senior Operating Committee members to coordinate and advance programmatic activities, understand and mitigate risks, and generally work to implement Accion’s strategy and advance its mission.

Position responsibilities:

The General Counsel has the following key areas of responsibility:

  • Serve as counsel and thought partner to the CEO, management and the Board of Directors;
  • Deliver legal outputs and services across Accion, directly and through leadership and development of the internal Legal team and our network of outside counsel;
  • Foster an environment for the legal function that adds strategic value to Accion by proactively implementing mission-oriented solutions while addressing applicable risks;
  • Directly manage matters involving formal corporate actions, conflicts of interest, and compliance with other applicable not-for-profit corporation and/or exempt organization requirements;
  • Oversee all legal, governance, and regulatory compliance issues regarding Accion and its global legal structure, including foreign/domestic subsidiaries, for-profit & not-for-profit entities, SEC-regulated investment advisors, and other special purpose vehicles;
  • Have primary responsibility for complex partnerships, transactions, and/or matters with significant financial or liability exposure;
  • Lead the assessment and management of any litigious matters;
  • Sit on Accion’s Risk Committee and generally support the risk management and compliance functions;
  • Lead by example, demonstrate professional and ethical business approaches and practices, espouse Accion values, and demonstrate a commitment to personal and professional development; and
  • Act as Assistant Corporate Secretary for all matters, including Board of Directors and committee meetings.

The incumbent is expected to:

  • Demonstrate expertise in a broad variety of the areas of law affecting Accion and in concepts, practices, and procedures applicable to its activities;
  • Navigate complex and quickly evolving environments and situations alongside business counterparts; and
  • Rely on extensive experience, judgment and creativity to plan and accomplish goals.


Position qualifications:

  • JD or LLM from a U.S. law school and/or admission to a bar in the United States.
  • Experience managing across functional areas and interacting with internal and external stakeholders at the most senior levels.
  • At least 15 years’ experience in the practice of law with significant exposure and expertise in matters related to not-for-profit/exempt org sector, corporate structuring, regulatory advocacy and compliance (including SEC/Investment Advisors Act), and general in-house/corporate issues.
  • Experience with VC/PE fund management/transactions, preferably in the financial services/fintech area, would be beneficial.
  • Prior experience living and working in emerging markets regions is preferred.
  • At least 7 years of progressive management experience, including direct supervision of team members as well as development and oversight of outside counsel across the globe.
  • Excellent English communication skills, with preference for foreign language capabilities.
  • Sense of humor and an optimistic outlook.
